P brought a stockholder derivative action against D. The action was dismissed and the trial court subsequently awarded D attorney fees. Ps challenged the award. D claimed that attorney fees were awardable under Cal. Corp. Code § 800 and also that a reciprocal right to attorney fees existed under Cal. Civ. Code § 1717.
