Facts
Cranson (D) was elected president of Real Estate Service Bureau, having been informed the Bureau was a corporation under Maryland law. As such, he purchased eight IBM (P) typewriters. However, at the time the purchases were made, the certificate of incorporation had not yet been filed due to an attorney oversight. Only partial payments were made on the typewriters.
