Facts

Reserve (D) issued a bonus program to its agents that effectively said that it was a voluntary contribution and it may be withheld, decreased, or discontinued with or without notice. Of course, a number of agents met the requirements, but D did not produce. Spooner (P) sued on the bonus program and won the verdict. D appealed.
