Facts

P and 48 other members of D brought suit against D and three named officers -- Boyle, President; Titler, Vice President; Owens, Secretary-Treasurer -- asking for an accounting of D funds disbursed by them and for restitution of funds allegedly misappropriated and misspent. The action was brought under § 501 of the Labor-Management Reporting and Disclosure Act. Williams & Connolly defended both D and the officers for a period of time. Ps moved to disqualify the firm as there was a conflict of interest between D and the three officers. The firm withdrew from defending the officers but continued to represent D. The district court agreed, and D. P appealed.
