Facts
Flygt was hired by a group of doctors to help them form a corporation so that they could jointly but some medical equipment. Flygt did the incorporation and then served as the corporation’s counsel. A doctor in the group named Danforth (D) was sued three years later on unrelated matters, and the doctor hired an attorney from Flygts law firm. The opposing side moved to disqualify the doctor's attorney based on a conflict of interest because of Flygt's involvement with the incorporation and his service as corporate counsel.
