Facts

Muellenberg went into business with Passerini (D) and had an integrated ownership structure in which both Muellenberg and D and a third party named Burg (P) would participate in the running of BNJ, Inc. Differences developed between P and Burg and P claimed Burg acted as though he ran the company himself. The trial court found that Muellenberg and D conspired to freeze out P.
