Facts
Parkgate (P) rented wagons to Lea (D). P was to maintain the wagons in good working order. P decided to wind up its business under the supervision of the Court. An execution of assignment was made to the British Company (P), and they took over all the repair facilities owned by Parkgate. D claimed that this assignment was not valid and the contract was terminated.
