Facts

On 1/22/1970, D signed articles of incorporation for Aero-Fabb CO. The original articles were not in accord with the statutes and, therefore, no certificate of incorporation was issued for the corporation until 6/12/1970. The leases were entered into and rental earned during the period between 1/22/ and 6/14.
